Terms and Conditions – Supplying Products and Services To You

 

  1. Purpose

These are the terms and conditions on which we supply products or services to you, whether they are digital content or physical goods and services.

  1. Agreement

You will agree to these when you order. Please read these terms carefully before you submit your order to us. These terms tell you who we are, how we will provide products to you, how you and we may change or end the contract, what to do if there is a problem and other important information. If you think that there is a mistake in these terms, please contact us to discuss.

  1. Statutory Rights

These do not contradict or affect your statutory rights which apply.

  1. Order Process – Our Contract with You

Our website will guide you through the steps you need to take to place an order with us. Before you place your order, you will see a description of the products in your shopping basket. Our order process allows you to check and amend any errors in your shopping basket before submitting your order to us. Please take the time to read and check your order at each stage of the order process.

Our acceptance of your order will take place when we email you to accept it, at which point a contract will come into existence between you and us.

If we are unable to accept your order, we will tell you. This might be because the product is out of stock, or because of technical issues we could not reasonably plan for, or because of an error.

If your order is for digital content and you have already paid for it, we will refund you reasonable timescale.

If your Order is for Services we will require payment in advance for those Services, as agreed.

  1. License

When you buy digital content or services from us, what you are allowed to do with it is limited.  You are licensed to use this for your own use. You may not make copies of it or print it other than for your personal use. You may not distribute it to any other person, modify it, convert it to a different format or include it in another work without the prior consent of Business Navigators Ltd, unless the law allows you to do so.  We may apply technical restrictions to digital content to enforce the owner’s or creator’s rights.

  1. Products, Goods and Services

6.1 The samples and images of the packaging and products on our website are for illustrative purposes only. Although we try to display the colours accurately, we cannot guarantee that your device’s display of the colours accurately reflects the colour of the products. Your product may vary slightly from those samples and images. Some digital content is subject to compatibility restrictions and updates, particularly eBooks.

6.2 We will make the digital content available for download by you as soon as we accept your order. We will also provide links to re-download the digital content in your order history. However, if the digital content has rights problems or it is withdrawn from sale it may not be possible for you to re-download it later, so it is important that you keep the copy you download safe. The product will be your responsibility from the time you download

6.3 If our supply of the products is delayed by an event outside our control then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Provided we do this we will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact us to end the contract and receive a refund for any products, goods, or services you have paid for but not received.

6,4. We may have to suspend the supply of a product to make minor technical or content changes, to comply with legal or regulatory requirements to make changes (see Clause 8)

6.5 Our Products, Goods and Services provide Guidance only and we shall limit our liability (see Clause 10).

  1. Price, Payment and Refunds

The price of the product (and the VAT rate) will be the price indicated on the order pages when you placed your order. We take all reasonable care to ensure that the price of product advised to you is correct.

VAT will be set at the applicable rate when you pay for the order.

It is always possible that some of the products we sell may be incorrectly priced. If we accept and process your order where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, we may end the contract, refund you any sums you have paid and require the return of any goods provided to you.

We accept payment by Visa and Mastercard debit and credit cards registered to a valid address, and by Stripe ®.  When you must pay depends on the product you are buying:

7.1 For digital content, you must pay for the products before you download them.

7.2 For Goods and Services, you will pay in advance on a reasonable mutually agreed date before the goods or services are supplied.

7.3 If you owe us money for goods and services reasonable provided by us these monies still need to be paid after termination.

7.4 If you have any agreed refunds, we should endeavour to refund these monies in reasonable timescales via the same method as payment.

  1. Changes and Variations

8.1   If you wish to make a change to your order, please contact us. We may allow the change if this is possible. If it is possible, we will let you know about any changes to the price of the product, the delivery charges, the timing of supply or anything else which would be necessary because of your requested change and ask you to confirm whether you wish to go ahead with the change.

8.2 We may make changes to these terms from time to time, for example, to reflect changes in the law or to accommodate changes to our products, goods, and services.  Each time you order products, goods, or services or from us, the version of these terms then in force will apply to that order. We may update or require you to update digital content, provided that the digital content shall always match the description of it that we provided to you before you bought it.

8.3 You may not vary this contract in any way without prior agreement with us.

  1. Termination of the Contract

9.1 You do not have the right to change your mind and terminate the contract once you have downloaded the digital content.

9.2 For digital content, you may have the right to terminate if what you bought is not as described or if we have not provided the download.

9.3 If you do not have any other rights to end the contract (see clause 9.1), you may still contact us immediately in writing. We may refund any sums paid by you we may deduct from that refund reasonable compensation for the net costs we will incur because of your ending the contract.

9.4 For Goods and Services provided by us you have the right to terminate the contract if we jointly agree that we have not provided the services we agreed to provide. You must contact us in writing. We may refund any sums paid by you and may deduct from that refund reasonable compensation for the net costs we will incur because of your ending the contract.

9.5 For Goods and Services provided by us, we have the right to terminate the contract if you do not pay us the agreed payment or if we cannot reasonably deliver the services we agreed to provide. You must contact you in writing. We may refund any sums paid by you and may deduct from that refund reasonable compensation for the net costs we have incurred in ending the contract.

9.6 For Goods and Services, we may be responsible to refund you fees paid for our failing to use reasonable care and skill. For example, if you discussed specific requirements with us; we agreed these during the sales process and we failed to provide. Any refunds will be mutually agreed and will be limited to no more than the fees paid for the agreed Services (see Clause 10)

9.7 You may not terminate any or part of this contract without reasonable cause and you must notify us in writing.

  1. Liability and Limitations

We only supply the products, goods, and services for guidance only. We will have no liability whatsoever to you or others for any

10.1 loss of profit, loss of business, business interruption, or loss of business opportunity now or in the future.

10.2 for any Consequential Loss you or others may incur now or in the future.

10.3 for any Personal Loss now or in the future.

10.4 for loss of data or software now or in the future.

10.5 for force majeure or acts beyond our control

11.Transfer and Assignment

11.1 We may transfer our rights and obligations under these terms to another organisation.  We will always tell you in writing if that happens and we will ensure that the transfer will not affect your rights under the contract.

11.2 You may only transfer your rights under these terms to another person if we agree to it in writing. We may not agree if you owe us money if you have otherwise broken the contract between us if it would be illegal or if it would put us in breach of our obligations to others.

11.3 This contract is between you and us. No other person will have any rights to enforce any of its terms. Nobody else has any rights under this Contract.

  1. Entire Agreement

This represents the Entire Agreement for this Contract.

  1. Partnerships and Joint Venture

This is a Contract for the provision of agreed Products, Goods or Services which provide guidance, this will not in any way be construed as constituting any Partnership or Joint Venture between contracting parties.

  1. Complaints

If you have a problem with the products, goods, or services, please contact us by email at roy.leach@busines-navigators.co.uk, as soon as possible and we will be reasonable and aim to mutually resolve your problems.

If we cannot mutually resolve your complaint you may wish to seek third-party arbitration to seek to mutually resolve your complaint. For example, online resolution to the European Commission Online Dispute Resolution Platform, which you can find at http://ec.europa.eu/consumers/odr

  1. Legality of Terms

In the event of a court finding part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

  1. Enforcement

Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you later. For example, if you miss a payment and we do not chase you, but we continue to provide the products, we can still require you to make the payment later.

  1. Personal information & Privacy

Our Privacy Policy describes what we will do with your personal information.  Please take the time to read it carefully.  You will be asked to agree to our Privacy Policy when you create an account with us or when you place an order with us.

 

18.Governing law.

These terms are governed by English law, and you can only bring legal proceedings in respect of the products, goods, or services in the English Courts.
